Board diversity policy

To reinforce corporate governance and the sound development of the composition and structure of the board of directors, Article 20 of the Company's Articles of Incorporation stipulates that the board of directors should possess the skills below as a whole:
  1. Business judgment
  2. Accounting and financial analysis
  3. Business management
  4. Crisis management
  5. Industry knowledge
  6. An international market perspective
  7. Leadership
  8. Decision-making

The board members should meet the standards, including but not be limited to the essential criteria and values, and possess the professional knowledge, skills, and competencies they need to perform their duties. The board of directors consists of 9 directors, including three independent directors. Board members possess extensive experience and expertise in accounting, industry, and technology.

Specific management goals
The board of directors guides the company's strategy, supervise the management team, and be accountable to the Company and our shareholders. The operations and arrangements of its corporate governance system ensure that the board of directors performs its duties in accordance with laws and regulations, the Articles of Incorporation, or the resolutions adopted by the shareholders' meeting. We aim to have at least 3 directors for each field of specialty and professional skills. In addition, we pay attention to gender equality among the board members and plan to increase female directors in the future, while aiming to raise the number of female directors to one-third of all board members and achieve a balanced distribution in terms of age to duly implement the board diversity policy.
